Terms of Service — Fee Scout

1. Acceptance of Terms

By accessing or using Fee Scout ("the Service") at app.feescout.ai, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Fee Scout LLC ("we", "us", or "our").

2. Description of Service

Fee Scout is a payment processing fee analysis tool. You upload a PDF merchant statement, and we use AI to analyze your current rates and identify potential savings. The analysis is provided for informational purposes only and does not constitute financial, legal, or professional advice.

3. Eligibility

You must be at least 18 years old and have the authority to act on behalf of the business whose statement you are uploading. By using the Service, you represent that you meet these requirements.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Upload statements that you are not authorized to share.
Submit false, misleading, or fraudulent information.
Attempt to reverse engineer, scrape, or abuse the Service.
Use the Service in any way that violates applicable law or regulation.

5. No Obligation

Submitting a statement and receiving an analysis creates no obligation on your part to proceed with any service, switch processors, or engage Fee Scout in any paid capacity. Our analysis is provided free of charge.

6. Success Fee Agreement

If you choose to proceed with fee negotiation services, a separate Success Fee Agreement will govern that engagement. Under that agreement, Fee Scout earns a percentage of verified monthly savings only after savings are confirmed in writing. No savings, no fee.

7. Accuracy of Analysis

We strive to provide accurate analysis, but results are generated by AI and may not reflect every nuance of your statement or pricing structure. We make no guarantees that the projected savings will be achievable. Actual savings depend on your processor, account history, volume, and other factors outside our control.

8. Intellectual Property

All content, software, and materials on the Service are owned by or licensed to Fee Scout LLC. You may not copy, reproduce, or distribute any part of the Service without our prior written consent. You retain ownership of any documents you upload.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Your use of the Service is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, Fee Scout LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Fee Scout LLC and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts of Texas.

14. Changes to Terms

We may update these Terms at any time. We will notify you by posting the updated Terms with a revised date. Your continued use of the Service after changes constitutes your acceptance of the new Terms.
